The Challenge  Official Rules  September 13, 2009 – January 3, 2010

1. PRELIMINARY INFORMATION:  No purchase necessary to enter or win. Void outside the KNBC terrestrial geographic viewing area and where prohibited. The Challenge ("Contest") begins on September 13, 2009, after the completion of Sunday Night Football on NBC and during the KNBC show, "The Challenge," and ends on January 3, 2010, after the completion of Sunday Night Football on NBC and during the KNBC show, "The Challenge" ("Contest Period"). All times in the Contest refer to Pacific Time. The computer for HipCricket, Inc. ("Sweepstakes Administrator"), is the official time-keeping device for the Contest.

2. Eligibility  The ("Contest") is open only to permanent legal U.S. residents who are located and residing in the KNBC terrestrial viewing area in the counties of Los Angeles, San Bernardino, Orange, Riverside, Ventura, and portions of Kern in the state of California and who are thirteen (13) years of age or older as of September 13, 2009. The Contest is also open to permanent, legal U.S. residents who can receive KNBC via satellite. Entrants under the age of eighteen (18) must have consent from their parent or legal guardian. Employees of KNBC; NBC Universal, Inc.; and HipCricket, Inc. ("Sponsors"); their respective parent, subsidiary, and affiliate companies; their advertising and promotion agencies; and members of these employees' immediate families (spouses and parents, children, and siblings, and their spouses) and/or persons living in the same households as these employees (whether related or not) are not eligible to enter the Contest. 

3. Sponsors:  KNBC-TV, 3000 West Alameda Avenue, Burbank, CA 91523; NBC Universal, Inc.; and HipCricket Inc, 11241 Slater Ave NE, Suite 201, Kirkland, WA 98033.

4. How to Enter  Registration is a pre-requisite to entering the Contest. To register, access the Contest website at thechallengetv.com then complete and thereafter transmit the registration form, which includes name, email address, birth date, cell phone number, gender, and username and password selection. All registrations become the property of Sponsors and will not be acknowledged or returned. After registering, you may enter the Contest by logging into the system with your selected username and password or by using the text messaging function on your cell phone (see below) and answering the questions for the Contest.   The questions for the Contest will appear on NBC4 during the on-air broadcast of "The Challenge." There will be 4 questions during each half hour show, and entrants must answer the questions as quickly as possible. The Contest Period consists of sixteen (16) Weekly Entry Periods. Each Weekly Entry Period will take place during the KNBC show, "The Challenge," which airs directly after Sunday Night Football on NBC and runs for thirty (30) minutes. The Contest will be played during all sixteen (16) shows of "The Challenge." There will not be a show on November 1, 2009.   WEEKLY ENTRY

Registrations and/or entries must be received before the completion of the KNBC show, "The Challenge," on January 3, 2010 to be eligible for the Contest.   You may enter once per Weekly Entry Period during the Contest Period. Multiple entries received from any person or email address beyond this limit will void all such additional entries. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason including, but not limited to, computer or network malfunction or congestion (including at Sponsors and other entities), are void and will not be accepted. Entry constitutes permission (except where prohibited by law) to use winner's name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in any and all media, now or hereafter known throughout the world in perpetuity without additional compensation, notification or approval.   During registration and/or entry, you may be asked research questions and/or asked to consent to receive promotional information from KNBC and selected partners. Answering research questions and/or consenting to receive promotional information is optional and does not have to be agreed to in order to be eligible to enter the Contest, nor will answering research questions and/or consenting to receive promotional information affect entrants' odds of winning a prize. Entrants will have the opportunity to receive information from KNBC and selected partners by checking the appropriate box. If, at any time, you do not wish to receive materials from KNBC, please go to our privacy policy, located at www.thechallengetv.com, and follow the procedure indicated. 

 5. Gameplay  Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, mobile communication devices, identities, registrations, logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Limit one (1) entry per question, regardless of entrant's chosen method of entry. Use of any automated system to participate is prohibited and will result in disqualification.  

5a. Playing Using a Mobile Communications Text/SMS-Enabled Device 
You must have a mobile communications text/SMS-enabled subscription with a participating carrier or otherwise have access to a mobile communications network. In addition, you must provide all equipment and software necessary to connect to the communication network, including, but not limited to, a mobile hand set or other mobile access device that is in working order. In the event of any dispute as to the identity of a text/SMS message entrant, entry will be declared made by the authorized account holder of the mobile telephone number used to make the entry. The "Authorized Account Holder" of a mobile telephone number is defined as the natural person who is assigned the mobile telephone number by the wireless carrier as shown on the carrier's records. The potential winner may be required to show proof of being the Authorized Account Holder. Text messaging is not available in all areas of the United States. Standard text messaging rates apply.  

5b. How to Play Using a Mobile Communications Text/SMS-Enabled Device
The questions for the Contest will appear on NBC4 during the on-air broadcast of "The Challenge," as specified in Section 4 above. Entrants should text their answer for each individual question using the question number and the letter of their answer (a, b, or c) to the short code, 37337. The quicker the correct response, the more points an entrant will be awarded. For more information, see "Scoring" in Section 5g. 

5c. Mobile Device Delays
Entries via text message may be subject to delays resulting from carrier congestion or network drop outs. Due to differences in times between servers, all text entries will be time-stamped according to the time-stamp on Sponsors' server. Sponsors disclaim any liability and will make no allowance for delays in a message arriving at Sponsors' server.  

5d. Television Transmission Delays
Depending on the entrant's television service (i.e., cable, digital cable, over-the-air via antenna, or satellite), the reception of the transmission of "The Challenge" may reach particular households at different times. If entrants have a digital video recorder (DVR) hooked up to their televisions, they may experience a delay in receiving the transmission as well. Sponsors disclaim any liability and will make no allowance for delays in receiving the transmission of "The Challenge."  

5e. Playing Online
In the event of a dispute as to the identity of any online entrant, Sponsors reserve the right to deem the authorized account holder of the email address used to enter as the entrant. The "Authorized Account Holder" of an email address is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address or the natural person assigned as the account holder. The potential winner may be required to show proof of being the Authorized Account Holder.  

5f. How to Play Online
The questions for the Contest will be provided on NBC4 during the show, "The Challenge," as specified in Section 4 above. Entrants may answer the questions online at www.thechallengetv.com.  Entrants should "click" on the appropriate answer letter, represented by large boxes with A, B, or C on them. After every question, the page will refresh with the next set of selections. The quicker your response, the more points you will receive. For more information, see "Scoring" in Section 5g.  

5g. Scoring
Entrants will be awarded points per question based on a thirty (30) point scale. After the question is announced on the air, three (3) answers (one (1) correct answer and two (2) incorrect answers) will be revealed simultaneously. Once the first answer is removed from the screen, the maximum point value is twenty (20); after the second answer is removed, only the correct answer will remain on the screen and the maximum point value is ten (10). Answers will be removed from the screen at six (6)-second intervals. After three (3) seconds have elapsed during that six (6)-second period, the point value diminishes by five (5). For example, the point value will go from thirty (30) to twenty-five (25), to twenty (20) to fifteen (15), to ten (10). Entrants will have eighteen (18) seconds to answer each question. Entrants will receive zero (0) points if they select the wrong answer at any time, and will be locked out of the game until the next question. You cannot change your answers. Answers received after the show ends will be disregarded. 

 

6. Prize Winners  Grand Prize Winner: At the end of the Contest Period, the entrant with the most points accumulated overall during the entire Contest Period will win the Grand Prize. In the event of a tie for the Grand Prize after the completion of the Contest Period, there will be "playoff eliminations" during the week of January 4, 2010, during business hours at the NBC4 Studios at 3000 West Alameda Avenue, Burbank, CA 91523, at a time to be chosen by Sponsors in their sole discretion. An entrant's failure to attend these eliminations may result in disqualification and forfeiture of any prize. Entrants who are tied with the highest cumulative point total will compete as finalists for the Grand Prize (detailed below in Section 7). Entrants will play in-studio with laptop computers, and answer four (4) questions in the same format as those provided during the sixteen (16) previous Weekly Entry Periods. The entrant with the highest point total after four (4) questions will win the Grand Prize. In the event of another tie, the entrants will play additional rounds, each with four (4) questions, until a winner is determined.  In the event the Grand Prize winner is disqualified, the participant with the next highest score will be chosen as the potential Grand Prize winner.

For All Potential Prize Winners: All potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling the requirements contained therein. Prize winners will be either notified by email or phone, and their names will also be posted on www.thechallengetv.com approximately one (1) hour after the conclusion of "The Challenge." Data compilation may be subject to carrier delays and other technical issues beyond Sponsors' control. "The Challenge" website will list the top (10) entrants for each specific week, as well as the top one hundred (100) entrants with the highest cumulative point totals. There will be an additional location on the website that will list a particular participant's ranking and cumulative point total if they are not in the top one hundred (100) entrants. Rankings will be listed by user names, but Sponsors reserve the right to edit and/or modify user names if they contain profanity or other inappropriate language. All potential prize winners, (or their parents/legal guardians if they are under the age of eighteen (18)) may be required to sign and return to Sponsors within ten (10) days of the date notice or attempted notice of prize is sent, an affidavit of eligibility and liability/publicity release ("Affidavit/Release") in order to claim his/her prize. If a potential winner cannot be contacted, or fails to sign and return Affidavit/Release within the required time period, potential winner forfeits prize. In the event that a potential winner is disqualified for any reason, Sponsors will award the applicable prize to the entrant with the next highest number of points toward the applicable prize. If there is a tie, a random drawing will be held by employees of Sponsors to determine the winner.

7. Prizes

WEEKLY RANDOM DRAWING FOR JACKSON LIMO SERVICE:  There will be one (1) certificate for 4 hours of free limousine service from Jackson Limousine awarded each week ("Limo Prize"), for a total of sixteen (16) Limo Prizes during the Contest Period. Each week, entrants who answer the first two (2) questions on "The Challenge" either correctly or incorrectly, will be entered into a random drawing to win the Limo Prize.   Estimated Retail Value (“ERV”) of Limo Prize is four hundred dollars ($400). Winners will be selected by employees of Sponsors, announced during the third segment of the show and will be notified via phone or email the following business day. Entrants cannot win more than once.  Gift certificate may be subject to certain terms and conditions as specified by issuer.

WEEKLY RANDOM DRAWING FOR ONE NIGHT HOTEL STAY AND SPA: There will be one (1) gift certificate for a one night stay at the Commerce Crown Plaza Hotel and Spa, a one hundred dollar credit for dinner at Steak’s Steak house and a one hundred dollar credit towards use at the hotel spa awarded each week ("Hotel Prize"), for a total of sixteen (16) Hotel Prizes during the Contest Period. Each week, entrants who answer the first three (3) questions on "The Challenge" either correctly or incorrectly, will be entered into a random drawing to win the Hotel Prize. ERV of Hotel Prize is four hundred dollars ($400). Winners will be selected by employees of Sponsors, announced during the final segment of the show and will be notified via phone or email the following business day. Entrants cannot win more than once.  Hotel Prize may be subject to certain terms and conditions as specified by issuer.

WEEKLY RANDOM DRAWING FOR GPS NAVIGATION SYSTEM:  There will be one (1) Pioneer AVIC-U310BT Car In Dash GPS Navigation System with built in Bluetooth awarded each week (“GPS Prize”), for a total of sixteen (16) GPS Prizes during the Contest Period. Each week, entrants who answer the first four (4) questions on “The Challenge” either correctly or incorrectly, will be entered into a random drawing to win the GPS Prize.  ERV of the GPS Prize is seven hundred dollars ($700).  Winners will be selected by employees of Sponsors, announced during the fourth segment of the show and will be notified via phone or email the following business day.  Entrants cannot win more than once.   GPS Prize will be awarded “as is” with no warranty or guarantee, either express or implied by Sponsors.

GRAND PRIZE:  There will be one (1) Grand Prize awarded, consisting of a $10,000 worth of Mathis Brothers furniture and design consultation ("Furniture").   Winner of Grand Prize agrees that Sponsors have neither made nor are responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the furniture, including, but not limited to, its quality, condition, or fitness, except that Furniture includes the standard limited warranty as set forth in Furniture’s warranty booklet.  

ERV of Furniture and design consultation is ten thousand dollars ($10,000).   Total ERV of all prizes is [thirty four thousand dollars ($34,000)].

For All Prizes: Sponsor will furnish an IRS 1099 form to winners of prizes worth more than $600 in any one year, for the tax year in which the prizes were won. Sponsors reserve the right to substitute similar prizes of comparable or greater value at their sole discretion. All taxes and all other expenses, costs, or fees associated with the acceptance and/or use of any prize are the sole responsibility of winners. Prizes cannot be transferred by winners or redeemed for cash and are valid only for the services or items detailed above, with no substitution of prizes by winners. In the event this Contest is terminated before all prizes are awarded, if any prize is unclaimed, if any prize notification is undeliverable, or in the event of non-compliance with any of these Official Rules, the prize will be forfeited. In the event that a prize component is not available for any reason, the remaining elements of prize shall constitute full satisfaction of Sponsors' prize obligation to winner and no additional compensation will be awarded. Prizes won by minors will be awarded in the name of their parent or legal guardian and such parent or legal guardian will be required to fulfill all requirements imposed on winner set forth herein.  All elements of prizes must be redeemed at the same time.

8. General Conditions:  By entering this Contest, each entrant agrees for entrant and for entrant's heirs, executors, and administrators (a) to release and hold harmless Sponsors and prize providers; their respective parent, subsidiary, affiliate, and joint-venture companies; their administrative, advertising, and promotion agencies; and these entities' respective officers, directors, and employees (collectively, "Released Parties"), from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant's participation in this Contest and/or his/her acceptance, possession, use or misuse of the prize, or any portion thereof; (b) to indemnify Released Parties from any and all liability resulting or arising from the Contest and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to prizes, including express warranties provided exclusively by the prize supplier that are sent along with the prize; (c) if selected as a winner, to the posting of such entrant's name on www.thechallengetv.com and the use by Released Parties of such name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media, now or hereafter known throughout the world in perpetuity without additional compensation and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Contest itself, and to be bound by all decisions of the Sponsors, whose decisions are binding and final. Failure to comply with these rules may result in disqualification from this Contest.  

Sponsors reserve the right to terminate this Contest or permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Contest or operation of the Contest is unlawful and subject to legal action by Sponsors who may seek damages to the fullest extent permitted by law. Sponsors reserve the right in their sole discretion to cancel or modify the Contest should any computer virus, malfunction, tampering, unauthorized intervention, fraud, technical failures or other cause beyond their control corrupt the administration, security, or proper operation of the Contest. In the event of cancellation, prizes will be awarded from among all eligible, non-suspect entries received prior to the event requiring cancellation. Notice of cancellation will be posted at www.thechallengetv.com.  

The failure of Sponsors to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsors (excepting compliance with applicable codes and regulations), or other force majeure event will not be considered a breach of these Official Rules.  

Released Parties assume no responsibility for any injury or damage to participants' or to any other person's computer relating to or resulting from entering or downloading materials or software in connection with this Contest. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for entries that are stolen, misdirected, garbled, delayed by computer transmissions, lost, late, damaged, or returned for postage due. 

9. Disputes:  The contest is governed by, and will be construed in accordance with, the laws of the state of New York, and the forum and venue for any dispute shall be in New York, New York. If the controversy or claim is not otherwise resolved through direct discussions or mediation, the parties agree that it shall then be resolved by final and binding arbitration administered by jams in accordance with its streamlined arbitration rules and procedures or subsequent versions thereof (the "Jams Rules"). The Jams Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be an arbitrator experienced and licensed to practice law in New York. All proceedings brought pursuant to this paragraph will be conducted in the county of New York. The parties agree that the remedy for any claim brought pursuant to this agreement shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney's fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief. 

10. Promotion Results:  For a list of prize winners and/or a copy of these Official Rules, available after January 3, 2010, send a self-addressed, stamped envelope to be received by February 10, 2010, to: "The Challenge Winners/Rules", c/o HipCricket, Inc., 11241 Slater Ave NE, Suite 201, Kirkland, WA 98033. VT residents may omit return postage.
